Abstract
قد تبدو الحاجة الى تعديل نظام الشركة بصدد زيادة او تخفيض رأس المال، كما قد تتشابه زيادة رأسمال شركة المساهمة مع بعض المفاهيم المشابهة له، كما تتعدد الاسباب لزيادة رأس المال بين القانونية أو لأحد الاسباب الاقتصادية، والتي بدورها تخضع لشروط معينة.
تعرض المشرع الجزائري لطرق تعدیل رأسمال شركة المساهمة وجعلها متعددة، بحیث نجد طرق التعدیل في رأس المال بمناسبة زیادته تختلف عن طرق التعدیل في رأس المال بمناسبة تخفیضه .
ولما كانت عملیة تعدیل رأسمال شركة المساهمة تعد مساسا بمبدأ ثباته والتي یمكن أن یترتب علیها أضرار بالمساهمین والدائنین والغیر المتعاملین في حالة مخالفة الأحكام القانونیة المتعلقة بهذا التعدیل ، فقد رتب المشرع الجزائري مسؤولية مدنیة و جزاءات جزائية، في حالة مخالفة الطرق و الاجراءات التي نص على اتباعها في حالة أي تعديل لرأس المال.

Summary :
The need to amend the company's system may appear in the matter of increasing or reducing the capital, and the increase in the capital of the joint-stock company may be similar to some similar concepts to it, and there are many reasons for increasing the capital between the legal or one of the economic reasons, which in turn are subject to certain conditions.
The Algerian legislator has presented ways to amend the capital of the joint-stock company and make it multiple, whereby we find methods of adjustment in the capital on the occasion of its increase that differ from the methods of adjustment in the capital on the occasion of its reduction.
Whereas the process of adjusting the shareholding company’s capital is considered a violation of the principle of its stability, which may result in damages to shareholders, creditors and non-dealers in the event of violation of the legal provisions related to this amendment, the Algerian legislator has arranged civil liability and penalties, in case of violation of the methods and procedures that it stipulated to be followed In the event of any capital adjustment.
