| dc.description.abstract | قام المشرع الجزائري بإحاطة األحكام المتعلقة بتأسيس شركة المساهمة واإلجراءات الخاصة بها قواعد آمرة خاصة وذلك حماية لمصالح المساهمين ومصالح الغير مع الشركة حيث ميزها عن غيرها من الشركات، من خالل مجموعة من األركان التي دارتها. يستلزمها في تأسيسها وا كما أنه في التعديل الجديد للقانون التجاري بموجب القانون 22-09 المؤرخ في 05 ماي 2022 ،استحدث من خالله نوعا جديدا من شركات المساهمة وهو شركة المساهمة البسيطة حيث نص المشرع على شروط جديدة بتاأسيس خاصة ما تعلق بعدد المساهمين أو كيفيات تأسيسها. الكلمات المفتاحية: شركة المساهمة البسيطة-التأسيس- اإلدارة- التشريع الجزائري. Summary: The Algerian legislator has surrounded the provisions related to the establishment of the joint-stock company and its procedures with special peremptory rules, in order to protect the interests of the shareholders and the interests of others with the company, as he distinguished it from other companies, through a set of elements that it requires in its establishment and management.
