| dc.description.abstract | عالجت الدراسة نظرية الشركة الفعلية في القانون الجزائري، وبينت أوجه التفرقة بين الشركة الفعلية وبعض النظم القانونية التي قد تلتبس بها كشركة المحاصة والشركة المنشاة من الواقع، والشركة في مرحلة التأسيس، كما تناولت الدراسة موقف المشرع الجزائري من النظرية والذي اعترف بها كما عالجت موقف القضاء الجزائري المتردد من نظرية الشركة الفعلية. وتناولت الدراسة مجال تطبيق نظرية الشركة الفعلية، وبينت النتائج القانونية المترتبة على الاعتراف بالوجود الواقعي للشركة الفعلية، وأخيرا تناولت الدراسةالأسباب المباشرة والأسباب غير المباشرة لانقضاء الشركة الفعلية، وكيفية تصفيتها وقسمتها. Abstract The study dealt with the theory of the actual company in Algerian law, and showed the differences between the actual company and some legal systems that may be confused, such as a share company, a company established from reality, and a company at the stage of incorporation. The study also dealt with the Algerian legislator's position on the theory, which he recognized, and also addressed the Algerian judiciary's hesitant position on the theory of the actual company. The study dealt with the field of application of the actual company theory, and showed the legal consequences of recognizing the actual existence of the actual company. Finally, the study dealt with the direct and indirect causes of the actual company's demise, and how to liquidate and divide. | en_US |
