| dc.description.abstract | إذا وقع إخلال في أحد الأركان الموضوعية لعقد شركة المساهمة لاسيما المساس بركن الرضا و الأهلية وركن المحل والسبب أو أحد الشروط الشكلية اللازمة لصحتها و المتمثلة في الكتابة و الشهر فإنه يترتب على ذلك بطلان عقد الشركة طبقا للقواعد العامة، وقد يترتب البطلان أيضا على عدم مراعاة شروط تأسيسها و اجراءاتها المقررة قانونا لاسيما المساس بالحد الأدنى لعدد الشركاء وتقديم الحصص العينية كاملة عند التأسيس و بوضع نظام الشركة وافراغه في قالب رسمي لدى الموثق، كما أنه بطلان من نوع خاص وذلك من خلال طبيعته، ونظام الدعوى، والحكم به، وأثره الكلمات المفتاحية :بطلان، شركة المساهمة، المساس بإجراءات التأسيس، شروط التأسيس، الاجراءات،.
