Abstract
المحل التجاري مال منقول معنوي، ذو طبيعة تجارية يقتضي تواجده القيام باستغلاله، ويتضمن المحل التجاري عناصر إلزامية والمتمثلة في العملاء (الزبائن) والشهرة، كما يتضمن كل الأموال اللازمة لاستغلاله.
ويعتبر بيع المحل التجاري من أهم هذه العقود، فقد أولى له المشرع عناية خاصة، ويقتضي قيام هذا العقد توافر نوعين من الشروط وهي: شروط الصحة الواجب توافرها في جميع العقود بصفة عامة، وشروط الصحة الخاصة بعقد بيع المحل التجاري وككل العقود يرتب عقد بيع المحل التجاري اثر مزدوج، فهو ينقل ملكية المحل التجاري من جهة وينشئ إلتزامات على عاتق الأطراف من جهة أخرى.

The performance of this contract requires two types of conditions: The terms of validity to be met in all contracts in general, and the terms of validity of the contract for the sale of the business, such as all contracts, have a double effect. The contract for the sale of the business transfers the ownership of the business on the one hand and creates obligations for the parties on the other.
