Abstract
للمحل التجاري أهمية بالغة في المجال الاقتصادي, نظرا للعمليات الواردة عليه وهو ما دفع المشرع الجزائري إلى تنظيمها بقواعد خاصة في القانون التجاري و قواعد اخرى في القانون المدني.
ولعل أهم هذه التصرفات البيع حيث يشترط لانعقاده توافر شروط موضوعية عامة و هي الرضا، المحل، السبب و كذلك شروط شكلية وهي الكتابة الرسمية و الإعلان و البيانات الإجبارية وإلا كانت باطلة.
وبانعقاده صحيحا يرتب التزامات على عاتق البائع تتمثل في الالتزام بنقل الملكية و الالتزام بتسليم المبيع والمحافظة عليه حتى وقت التسليم, كما يلتزم بعدم منافسة المشتري منافسة منافية إضافة إلى التزام البائع بضمان.
Summary:
The commercial store has a great importance in the economic field, given the operations contained in it, which is what prompted the Algerian legislator to organize it with special rules in commercial law and other rules in civil law.
Perhaps the most important of these behaviors is selling, whereby general objective conditions are required for its holding, which are satisfaction, location, reason, as well as formal conditions, which are official writing, announcement and mandatory statements, otherwise they will be void and by properly holding it, it entails obligations on the seller, represented in the obligation to transfer ownership and the obligation to deliver the sold item and preserve it until the time of delivery, and he is also obligated not to compete with the buyer against competition in addition to the seller’s obligation to guarantee.
