| dc.description.abstract | للشركات التجارية أهمية خاصة في اقتصاديات الدول، لذلك يتميز البطلان فيها بطبيعة خاصة، كونه لا يحصل إلا بنص صريح، اقتداءً بالقاعدة الجنائية لا جريمة ولا عقوبة إلا بنص، هذا الأسلوب اعتمده المشرع من أجل تقييد ما أمكن الأسباب المؤدية للبطلان، كما أن الخصوصية تتجلى كذلك في توسيع إجراءات تصحيحه لتلافي التصريح بالبطلان. أما إذا تم الحكم به فلم يتوان المشرع كذلك في معالجة آثاره، عن طريق اعتماد نظرية الشركة الفعلية والتي هي نتاج الاجتهاد القضائي، كما أنه أقرّ مسؤولية مدنية وأخرى جزائية على عاتق المؤسسين لمخالفتهم قواعد التأسيس. كل هذا هدفه حماية الغير المتعاملين مع الشركة التجارية، وحفاظا على المراكز القانونية. الكلمات المفتاحية:الشركة التجارية– البطلان – التصحيح – الشركة الفعلية – المسؤولية. Abstract Commercial companies have a special importance in the economies of countries, so nullity is characterized by a special nature, as it does not occur except with an explicit text, following the criminal rule,no crime and no punishment except by a text. this method was adopted by the legislator in order to restrict as much as possible the reasons for nullity,and privacy is also reflected in the expansion of the procedures for regularization it to avoid declaring nullity.But if it is judged, the legislator also did not hesitate to address its effects, by adopting the theory of the facto corporation, which is the product of judicial jurisprudence, and it also recognized civil and penal liability on the part of the founders for violating the rules of incorporation. All this aims to protect third parties dealing with the commercial company, and to preserve legal positions.
