Abstract
إن موضوع حماية المساهم في شركة المساهمة موضوع يكتسي أهمية بالغة ذلك أنه بحماية الحقوق الأساسية للمساهم داخل الشركة يشجعه على الانضمام إليها و الاستثمار في هذا النوع من الشركات ،فالنوع الأول من الحماية يتمثل في حماية الحقوق المالية للمساهم داخل الشركة و ذلك عن طريق ضمان حصوله على الأرباح و إعطائه الحرية اللازمة لتداول أسهمه داخل الشركة .
غير أن المشرع ولتوفير مزيد من الحماية رصد للمساهم آليات و ذلك لتوفير حماية شاملة للمساهمين من أي تعسف داخل الشركة حتى من تعسف المسيرين و سوء إدارتهم . ففرض عقوبات جزائية تصل في بعض الأحيان إلى حد الحكم بالحبس على المخالفين .

To provide more protection , The legislatordevelopedcomplete and comprehensivestrategies for shareholdersprotectthemfromany abuse in the company or from the abuse of the directors and themmismanagement . so the legislator impose penal sanctions whichcanreach to the imprisonment for thisviolators .
