| dc.description.abstract | إن موضوع حماية المساهم في شركة المساهمة موضوع يكتسي أهمية بالغة ذلك أنه بحماية الحقوق الأساسية للمساهم داخل الشركة يشجعه على الانضمام إليها و الاستثمار في هذا النوع من الشركات ،فالنوع الأول من الحماية يتمثل في حماية الحقوق المالية للمساهم داخل الشركة و ذلك عن طريق ضمان حصوله على الأرباح و إعطائه الحرية اللازمة لتداول أسهمه داخل الشركة . غير أن المشرع ولتوفير مزيد من الحماية رصد للمساهم آليات و ذلك لتوفير حماية شاملة للمساهمين من أي تعسف داخل الشركة حتى من تعسف المسيرين و سوء إدارتهم . ففرض عقوبات جزائية تصل في بعض الأحيان إلى حد الحكم بالحبس على المخالفين . ا. protection of the shareholder in joint stock company , Is a subjectwhich has the greatest importance, becauseitprotects Basic rights of the shareholders in the company, soit encourages them the joining and investing in it.
